Item 2.02	RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On December 5, 2005, TeamStaff, Inc. (the ‘‘Registrant’’) announced by press release its earnings for the fourth quarter and fiscal year ended September 30, 2005 and provided certain limited revenue guidance for the quarter ending December 31, 2005. A copy of the press release is attached hereto as Exhibit 99.1.
