Item 2.02   RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On August 14, 2009, TeamStaff, Inc. announced by press release its financial results for the fiscal quarter ended June 30, 2009. A copy of the press release is attached hereto as Exhibit 99.1.
