Item 8.01 Other Events.

As previously reported, in December 2014 Piedmont Natural Gas Company, Inc. (the Company) filed a petition with the Tennessee Regulatory Authority (TRA) seeking authority to collect through adjusted rates an additional $6.5 million in annual Integrity Management Rider (IMR) margin revenues effective January 2015 based on $54 million of capital investments in integrity and safety projects over the twelve-month period ending October 31, 2014. At its January 12, 2015 meeting, the TRA accepted and approved the requested IMR rate adjustment. The Company is awaiting a written order.
