Due to the sale of the Registrant's Magnum Technologies business, the proposed settlement with respect to the assets and licenses purchased from Infinite Graphics Incorporated, the proposed sale of the Registrant's Breece Hill Technologies subsidiary, and a re-evaluation of the recoverability of certain tangible and intangible assets during the fourth quarter of 1999, the Registrant anticipates a charge of between $10 million to $12 million in December 1999 related to these items. In addition, the Registrant anticipates other operating losses, exclusive of the items above, of $9 million to $11 million in the fourth quarter of 1999, approximately $5 million to $6 million of which are related to compensation paid to third parties through grants of equity instruments. Based upon the September 30, 1999 year-to-date net loss of $7.4 million and upon consideration of the items above, the Registrant anticipates the fiscal year 1999 net loss to be between $26 million and $30 million.
