ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

Consistent with previous disclosure, J. Kevin Fletcher, formerly the President and Chief Executive Officer of WEC Energy Group, Inc. (the “Company”), retired from the Company effective June 1, 2022.

In light of Mr. Fletcher’s service and significant contributions to the success of the Company, the Compensation Committee of the Company’s Board of Directors approved the acceleration of the vesting of unvested shares of restricted stock awarded to Mr. Fletcher, consisting of approximately 9,707 shares, effective June 1, 2022.
