Item 7.01. Regulation FD Disclosure

On May 15, 2012, The NASDAQ Stock Market (“NASDAQ”) informed Emmis Communications Corporation (the “Company”) that the Company has met the requirements of the Hearing Panel’s decision dated April 26, 2012 and is now in compliance with all applicable requirements for continued listing on NASDAQ. Thus, the Hearing Panel determined to continue the listing of the Company’s securities on NASDAQ and has closed the matter.
