NONCASH INVESTING AND FINANCING TRANSACTIONS

During the thirteen weeks ended May 1, 2016 and May 3, 2015, the Company recorded increases to goodwill of $12.3 million and $11.7 million, respectively, related to liabilities incurred for contingent purchase price payments to Mr. Calvin Klein. Such amounts are not due or paid in cash until 45 days subsequent to the Company’s applicable quarter end. As such, during the thirteen weeks ended May 1, 2016 and May 3, 2015, the Company paid $12.8 million and $11.9 million, respectively, in cash related to contingent purchase price payments to Mr. Calvin Klein that were recorded as additions to goodwill during the periods the liabilities were incurred.

Omitted from purchases of property, plant and equipment in the Company’s Consolidated Statements of Cash Flows for the thirteen weeks ended May 1, 2016 and May 3, 2015 are $2.3 million and $2.5 million, respectively, of assets acquired through capital leases.

During the first quarter of 2016, the Company completed the acquisition of TH China. Included in the acquisition consideration was the elimination of a $2.8 million pre-acquisition receivable owed to the Company by TH China. 

Omitted from acquisition of treasury shares in the Company’s Consolidated Statement of Cash Flows for the thirteen weeks ended May 1, 2016 is $2.2 million of shares repurchased under the stock repurchase program for which the trade occurred but remained unsettled as of May 1, 2016.
