*On January 2, 2003, the reporting person 's July 2, 2002 grant of restricted shares became taxable income due to his age and service qualifying him for early retirement.

Pursuant to the Phelps Dodge Corporation 1998 Stock Option and Restricted Stock Plan 1,425 shares were submitted to satisfy the tax obligations on the original grant of 3,700 restricted shares.
