The sale of the shares of preferred stock is subject to certain conditions, including approval by the Company's shareholders. Each share of the Series B convertible preferred stock will be convertible into common stock at a conversion price of $2.25, or approximately 22,200,000 shares of common stock, subject to anti-dilution protection and certain adjustments.
