Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On November 1, 2021, Kevin D. Williams, Chief Financial Officer and Treasurer of Jack Henry & Associates, Inc. (the “Company”), notified the Company of his intention to retire from his positions with the Company in June 2022. A search process has been initiated to identify his replacement. Mr. Williams’ actual retirement date will be determined based upon progress of the search, the timing of his replacement joining the Company, and the orderly transition of his responsibilities. Mr. Williams has served as Chief Financial Officer and Treasurer of the Company since 2001.
On November 1, 2021, Teddy I. Bilke, Chief Technology Officer and a named executive officer of Jack Henry & Associates, Inc. (the “Company”), notified the Company of his intention to step down as CTO and executive officer of the Company in January 2022, with the specific date to be determined later, and retire from all his positions with the Company in June 2022. Mr. Bilke has been with the Company since 2005.
Additional information regarding Mr. Williams’ retirement and Mr. Bilke’s retirement is detailed in the Company’s press release dated November 3, 2021, the text of which is attached hereto as Exhibit 99.1.
