ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 9, 2020, White Mountains Insurance Group, Ltd. (the “Company”) announced that Frank Bazos, Executive Vice President and Head of M&A of White Mountains Capital LLC (“WMC”), will resign from his current role on March 1, 2021 and become a Senior Advisor to WMC. WMC and Mr. Bazos expect to enter into an employment agreement relating to his service as a Senior Advisor, which will be filed as an exhibit to the Company’s next periodic report filed pursuant to the Securities Exchange Act of 1934, as amended, following execution of such agreement.
