State below in reasonable detail the reasons why Forms 10-K, 20-F, 10-Q, N-SAR,
or the transition report or portion thereof, could not be filed within the
prescribed time period.

All of the Company's operations are located in the People's Republic of China.
The Company's independent auditors are located in the United States and the 2003
audit is the first audit for the Company performed after completion of the
reverse merger in April 2003, and is also the first audit performed by the
Company's current independent auditors. Accordingly, the Company requires
additional time to complete its Annual Report on Form 10-KSB.
