ITEM 1.01.     ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

Effective March 20, 2024, M.D.C. Holdings, Inc. (the “Company”) entered into a Seventh Amendment to Credit Agreement (“Seventh Amendment”) to its unsecured credit agreement (“Credit Agreement”) with U.S. Bank National Association, as designated agent and co-administrative agent, Citibank, N.A., as co-administrative agent, and the other parties that are signatories thereto.

The Seventh Amendment amended certain provisions of the Credit Agreement in connection with the proposed merger of Clear Line, Inc., a Delaware corporation, with and into the Company, resulting in the Company surviving the merger as a wholly-owned indirect subsidiary of Sekisui House, Ltd., a Japanese kabushiki kaisha. The Seventh Amendment amended the Credit Agreement to provide that the merger (1) does not constitute a change in control triggering an event of default under the Credit Agreement and (2) does not constitute a prohibited merger under the Credit Agreement.

The foregoing description of the Seventh Amendment is qualified entirely by the full text of the Seventh Amendment, a copy of which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
