Item 8.01 Other Events.

In October 2006, Cirrus Logic, Inc. (the "Company") received a letter from the Division of Enforcement of the United States Securities and Exchange Commission (the "SEC") indicating that the SEC is conducting an informal investigation into the Company’s historical stock option practices. On October 29, 2007, the Company was informed that the SEC is now conducting a formal investigation into this matter. The Company has cooperated with the SEC regarding this matter and intends to continue to do so.
