Item 1.01.

Entry into a Material Definitive Agreement.

On December 6, 2013, Champions Oncology, Inc. (the “Company”) entered into a licensing agreement (the “Agreement”) with Pfizer Inc. (“Pfizer”), pursuant to which the Pfizer acquired a license to utilize a portion of the Company’s TumorGraft technology platform for its studies. In addition, the Company and Pfizer will seek opportunities for further platform development and research collaboration. In consideration for the license, Pfizer will pay an aggregate payment $1,875,000, of which $937,500 is due upon execution of the Agreement and the remaining $937,500 will be paid upon successful delivery.

The foregoing description is a summary only and is qualified in its entirety by reference to the Agreement, which will be filed as an exhibit to the Company’s Form 10-Q for the period ending January 31, 2014.
