(“Merger Sub”) with Penn Virginia Corporation (“Penn Virginia”) pursuant to the terms of an Agreement and Plan of Merger, dated as of October 28, 2018 (the “Merger Agreement”), by and among Denbury Resources, Inc. (“Denbury”), Penn Virginia, DR Sub LLC and Merger Sub. The Merger Agreement is on file with the Securities and Exchange Commission as an exhibit to the Current Report on Form 8-K filed by Penn Virginia on October 29, 2018, and is incorporated by reference into this filing.

On October 30, 2018, Penn Virginia began sending this letter to its Royalty Interest Partners. The letter relates to Denbury’s pending acquisition of Penn Virginia.
