Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 14, 2010, Frank A. Pici resigned his positions as Executive Vice President and Chief Financial Officer of Penn Virginia Corporation (the “Company”).

On October 14, 2010, the Board of Directors of the Company elected A. James Dearlove, President and Chief Executive Officer, to serve as interim Chief Financial Officer. Mr. Dearlove, age 63, has served as the Company’s President and Chief Executive Officer since May 1996. Prior to that time, he served in various capacities with the Company since 1977, including as President and Chief Operating Officer from 1994 to May 1996, as Senior Vice President from 1992 to 1994 and as Vice President from 1986 to 1992. Mr. Dearlove also served as President and Chief Executive Officer of PVG GP, LLC, the general partner of Penn Virginia GP Holdings, L.P., from September 2006 to March 2010 and as Chief Executive Officer of Penn Virginia Resource GP, LLC, the general partner of Penn Virginia Resource Partners, L.P., from July 2001 to March 2010. Mr. Dearlove currently serves as Chairman of the Board of PVG GP, LLC. He previously served on the board of directors of Penn Virginia Resource GP, LLC from 2001 to 2010.

 

Item 7.01. Regulation FD Disclosure.

On October 14, 2010, the Company announced the resignation of Mr. Pici and the election of Mr. Dearlove as interim Chief Financial Officer. The press release is attached hereto as Exhibit 99.1 and is hereby incorporated into this Item 7.01.
