Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On July 24, 2007, Penn Virginia Corporation (the “Company”) filed a Form 8-K reporting under Item 5.02 thereto that William H. Shea, Jr. had been elected to the Company’s Board of Directors. The Form 8-K did not include any committees of the Board of Directors to which Mr. Shea was appointed because the information was unavailable.

The Company is filing this Form 8-K/A to report that on October 23, 2007, the Company’s Board of Directors appointed Mr. Shea to the Compensation and Benefits Committee.
