Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On May 31, 2024, the Board of Directors of Kopin Corporation (the “Company”) approved and adopted a form of indemnification agreement to be entered into by the Company with its directors and officers (the “Indemnification Agreement”). The Indemnification Agreement provides for the maximum indemnity permitted for directors and officers under the Delaware General Corporation Law and the Company’s charter documents, as well as additional procedural protections. The Indemnification Agreement was adopted in order to incorporate certain updates that reflect current market indemnification practices.
