Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 25, 2019, Big Lots, Inc. (“we,” “us,” “our,” or “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) announcing, among other items, that Timothy A. Johnson, the Company’s Executive Vice President, Chief Administrative Officer and Chief Financial Officer, would step down from that role on August 4, 2019 and thereafter would serve in an advisory capacity through September 2, 2019 to provide the opportunity for a smooth transition for the business. The Company is filing this Current Report on Form 8-K/A for the sole purpose of announcing that on August 2, 2019, Mr. Johnson and the Company mutually agreed to extend Mr. Johnson’s advisory role through September 30, 2019. As previously announced, Mr. Johnson resigned from the position of Executive Vice President, Chief Administrative Officer and Chief Financial Officer as of August 4, 2019, and Jonathan E. Ramsden joined the Company as Executive Vice President, Chief Financial and Administrative Officer on August 5, 2019. Except as set forth herein, no modifications have been made to the information contained in the Original Form 8-K.
