(b) On May 28, 2014, David Krieger resigned from the Board of Directors of Ceres, Inc. (the “Company”) in order to dedicate more time to other professional responsibilities. Mr. Krieger served as a Class III director of the Company whose term was scheduled to expire at the 2015 annual meeting of stockholders and member of the nominating and corporate governance committee of the Company. There was no disagreement with the Company on any matter relating to the Company's operations, policies or practices.
