ITEM 1.01.  Entry into a Material Definitive Agreement
 
On January 24, 2011, Alaska Airlines, Inc. entered into an aircraft purchase agreement with The Boeing Company to purchase two B737-800 aircraft and thirteen B737-900ER aircraft (tota l of fifteen incremental aircraft), with deliveries beginning in November 2012 and continuing through August 2014. The purchase agreement includes options to purchase additional aircraft with deliveries between January 2016 and December 2017. Based on the current list prices, the total value of this contract is approximately $1.3 billion. The agreement contains certain confidential discounts and concessions that reduce Alaska’s price to an amount less than the list price.
