Caledonia has also completed a C$3 million private placement financing. MOGALE GOLD Caledonia has signed a MOU with the South African Export Development Fund ("SAEDF") which grants Caledonia a 30 day option period to acquire a 100% interest in Mogale, subject to Caledonia conducting a satisfactory due diligence review of Mogale. Mogale operates a gold recovery plant and owns a number of gold plant slimes and sands dumps in the Roodeport/Krugersdorp area of the West Witwatersrand in South Africa, approximately 50 kilometres west of Johannesburg. This acquisition, if completed, is expected to provide Caledonia with immediate gold production of approximately 50 to 60 Kg per month from the treatment of dumps at Mogale and the potential to increase this significantly to 110 to 120 Kg of gold over the next three to four months. In addition, Caledonia has an option to purchase additional dumps in the area close to Mogale. Pursuant to the MOU, Caledonia has assumed management responsibilities at Mogale during the due diligence period. Caledonia can exercise its option and purchase Mogale by issuing 6 million Caledonia shares with a 4 month hold, and by granting 4 million share purchase warrants to SAEDF. Each 1 million warrants are exercisable within 18 months at prices of C$0.60, C$0.73, C$0.86 and C$1.00 respectively. Mogale is, in the MOU warranted to have maximum debt and rehabilitation liabilities of S.A. R45.9 million (approximately C$ 8.2 million) The transaction is subject to final documentation, acceptance by the TSX exchange, and approval of the South African regulatory authorities - which are expected to be received. A more detailed production forecast will be issued once the transaction has closed. FINANCING On December 31, 2002 and January 6, 2003, Caledonia, through the efforts of its fiscal agent, IBK Capital Corp. of Toronto completed a financing of 12 million units priced at C$0.25 each. Each unit consists of one common share of Caledonia and one half share purchase warrant. Each full warrant entitles the holder to purchase one common share of Caledonia at a price of $0.33 for a period of one year from the date of issue. The Corporation also reports that since December 15th 2002 a total of 7,268,135 share purchase warrants from previous financings have been exercised. These have generated C$1,417,286 for the Corporation. - 2 - The funds raised will be used to fund further capital improvements at the Barbrook and Eersteling Mines in South Africa, and exploration activities at the Goedgevonden diamond and Rooipoort platinum properties in South Africa. BARBROOK At the Barbrook Mine in Mpumalanga Province of South Africa, mine development is progressing with the first stope production scheduled for February. Since December mined ore is being trammed to a surface stockpile according to plan and is grading in excess of the modeled grade of 6 g/t. Ore is drawn from the stockpile, crushed and is stored in the coarse-ore bin ready for milling once the resin-in-leach circuit ("RIL") is commissioned in late February/early March. This follows a decision to delay final commissioning in order to allow the construction and installation of a six stage Resin pump cell carousel. This carousel, which was designed by Kemix, will result in faster leach kinetics, better gold recoveries and lower operating costs in the RIL plant than were initially planned from modifying the CIL circuit to RIL. EERSTELING The mining permission for Eersteling has been applied for and is expected shortly. On receipt, work on returning Eersteling to production will commence. The platinum resource at Rooipoort has been modeled based on the downdip drilling by Amplats, and further exploration on this property will commence early in the second quarter. Caledonia has adequate funds at this time to carry out the activities described above and expects to be cash-flow positive shortly. The program includes ground geophysics and drilling of new targets in the winter, and heavy mineral sampling and conversion of the mineral claims to mining leases in the summer. The investigation of airborne geophysical anomalies through ground geophysical surveys will commence in early April followed by the drilling of high priority targets identified from this work. Of particular interest are a group of three electromagnetic anomalies with associated indicator mineral anomalies underlying lakes approximately 1,000 metres west of the diamondiferous Potentilla kimberlite. A number of unexplained indicator mineral and geophysical anomalies remain to be investigated. The summer program will focus on detailed heavy mineral sampling up-ice from these anomalies and the collection of property-scale samples. Past exploration has demonstrated the potential of the Kikerk Lake property. A 5.83 tonne sample collected from Potentilla returned an estimated diamond content of 22.0 carats per hundred tonnes and yielded a 0.34 carat diamond. A second diamondiferous kimberlite, Stellaria, located 700 m east of Potentilla, is interpreted to be a steeply dipping hypabyssal dyke with an approximate true width of 13 metres. Therefore, the 15 mineral claims that comprise the 15,000 hectare property will be taken to lease. Exploration on the Kikerk Lake property is governed by an agreement among Caledonia, Ashton Mining of Canada Inc. ("Ashton") and Northern Empire Minerals Ltd. ("Northern Empire"). The current respective interests of the parties are Ashton 52.5 percent, Caledonia 17.5 percent and Northern Empire 30 percent. Ashton has exercised an option to increase its interest to 59.5 percent by carrying Caledonia until the completion of a feasibility study. Seductive as gold production is, it must at all times have the flexibility and cost structure to continue to add shareholder value. Caledonia's management responsibilities for Mogale, which were assumed during the due diligence period are now concluded, and Caledonia has accordingly been paid for these services. At the Barbrook Gold Mine in Mpumalanga Province of South Africa, mine development continues to progress, tonnage was mined from the first stope during February, development for the main stoping block is well advanced and production from these stopes commenced in March. Mined tonnage for March is scheduled at 3,000 tonnes, increasing to 4,500 tonnes in April and 6,000 tonnes in May. Planning and underground development to further increase mined tonnage continues. The additions and refurbishing of the Barbrook Metallurgical plant is well advanced and the crushing, milling, and flotation circuits have been commissioned, with the regrind, and PreOx circuits being commissioned within the next few days. The resin-in-leach circuit, which has been subject to unexpected supplier delays, has been installed and will be commissioned shortly resulting in gold adsorption later in this month. A comprehensive desk study on the Rooipoort platinum prospect, based on the available geological and geophysical information has been completed. The Rooipoort prospect was recently acquired by the Corporation's 96% owned subsidiary, Eersteling Gold Mines Limited. The desk study has confirmed the likely presence of both the Merensky and U2 reefs on the property and ground geophysical follow-up work is planned to commence immediately and will be immediately followed by a diamond-drilling program. Simultaneously with the exploration on Rooipoort, Caledonia intends to shortly commence the necessary work to return the Eersteling gold mine to production. The plan is for Eersteling to commence gold production during the third quarter 2003. At the Goedgevonden diamond property, early summer rains last year caused the large diameter auger sampling program to be delayed. Caledonia has acquired the time domain airborne geophysics flown over the area and expects to conclude the interpretation of this by mid April. Based on these conclusions - 2 - Caledonia then plans to commence a large diameter auger-sampling program once the summer rains have stopped and the water table has dropped sufficiently to allow the auger to proceed. The program is designed to provide a sufficiently large bulk sample to accurately verify the grade and quality of diamonds to be found in the undisturbed but heavily weathered kimberlite overlying the competent rock of the kimberlite pipe. The Annual Meeting of Shareholders will be held at 09:30 in Toronto on June 24, 2003. KIKERK LAKE The Kikerk Lake property is located in the Coronation Gulf region of Nunavut and hosts the diamondiferous Potentilla and Stellaria kimberlites, identified on the property in 2001 and 2002 respectively. The winter portion of the 2003 program announced by Ashton and Caledonia on March 7, 2003 has been completed and three electromagnetic anomalies associated with indicator mineral dispersions and underlying lakes approximately one km west of Potentilla were tested by drilling. At one anomaly, two angle holes drilled at inclinations of 46 degrees and 65 degrees from horizontal intersected approximately 0.6 m and 0.3 m of kimberlite respectively. This anomaly is located about 1.2 km west of the Stellaria kimberlite associated with a two km long linear structure. No kimberlite was intersected at the other two anomalies. Exploration on the Kikerk Lake property will continue during the summer and field activities will include follow-up on a number of unexplained indicator mineral and geophysical anomalies through heavy mineral sampling, ground geophysical surveys and prospecting. Exploration on the Kikerk Lake property is governed by an option and joint venture agreement among Ashton, Caledonia and Northern Empire Minerals Ltd. Ashton has a 52.5 percent interest in the property and has exercised its option with Caledonia to increase its interest to 59.5 percent. At Eersteling, prior to commencing the dewatering of the first three shafts, water levels and samples have been taken from the surrounding farm boreholes and discussions are being held with the DME and the Department of Water Affairs regarding the storage and subsequent use of this pumped water by the mine. A comprehensive desk study on Rooipoort, based on airborne geophysics and the down dip drilling on the adjacent farm undertaken by Anglo Platinum has been completed. This study has confirmed the likely presence of both the Merensky and the UG-2 platinum group metals on the property. A ground geophysics program will commence in early June and subject to these results will likely be followed immediately by a drilling program. The Rooipoort Exploration Project, approximately 8 kilometres south of Potgietersrus and about 30 km southwest of Caledonia's Eersteling gold mine in the Limpopo province of South Africa is considered to be highly prospective for platinum deposits. A desk study based on high-resolution airborne geophysics, the down-dip drilling on the adjacent farms undertaken by Anglo Platinum/JCI and Falconbridge during the 1970's, and other historic exploration on adjacent farms was completed during the 2nd quarter 2003. Drilling commenced at Rooipoort on 15th September 2003 to test the stratigraphy of platinum group metal potential along the previously unexplored 6 km strike of Bushveld Complex rocks on this property. The drill holes (please refer to the map on the second page of this press release) have been sited to test the largely unexposed stratigraphy and are based on the results of the desk study and the results of reconnaissance traverses completed during this program. A proposed trenching program was abandoned due to the depth of soil and colluvium (3- 15m) in the area. Three drill rigs are currently operating and eight drill holes have been completed. The 15 hole drilling program is expected to be completed by the 12th December 2003 when the drillers break for their annual holidays. The current stratigraphic drilling has intersected mineralization and confirms the presence of "Merensky"-like platinum mineralization on the property. Mr. John L Blaine, Professional Geologist and Consulting Geologist is Caledonia's project manager of its Rooipoort Platinum Project and is responsible for its design and conduct of the exploration program. Petrographic verification of rock types continues and the assaying of systematically sampled drill core is being conducted at SGS Lakefield laboratories in Johannesburg. Check assays will be conducted by the outside laboratories of either Genalysis (Perth, W. Australia) and/or ALS Chemex (Toronto, Canada). A full synopsis of this is expected early in 2004. The 2004 drilling programs are scheduled to commence during February 2004 and will be focussed on the development of resource estimates, which once compiled, will be confirmed by an independent consultant. After considerable bureaucratic delays the exploration permit for the Goedgevonden diamond property was issued on the November 18, 2003 by the South African authorities. As a result the bulk sampling of the Goedgevonden kimberlite pipes has had to be deferred until early in the second half of 2004 when lower water table conditions are expected to allow large diameter drilling on the property. Surveying of the Goedgevonden kimberlite has indicated - 2 - the existence of a northward extension to the known pipe, potentially increasing its size by some 30% that has never previously been tested. A further survey was conducted over an area of 1500m by 1200m on the farm Eleazar 377IP located some 5 km north east of Goedgevonden. This survey, centered over a prominent pan (shallow depression) has shown the existence of a residual Bouguer gravity anomaly measuring 200m by 300m, that may be indicative of the presence of a previously unknown kimberlite. Full compilation of all historical data is in progress to combine with this recent work prior to siting of drill holes to test these new targets, before completing plans for bulk sampling of the kimberlite(s). The Lukulu licence area is adjacent to the Kashiji Plains licence area, as shown on the map below. Exploration of these two areas for diamonds, together with the Mulonga Plain licence, is conducted by Motapa Diamonds Inc., Caledonia's partner in the Mulonga Plain Joint Venture. Sampling of the Lukulu licence area will follow-up on a diamond and kimberlite indicator mineral anomaly in the southeast part of the Kashiji licence identified by Motapa in previous exploration programs, and is intended to define a discrete area for future airborne follow-up. (MAP) - 2 - Caledonia also announces that in the period from November 27, 2003 to January 6, 2004 a total of 8,341,546 share purchase warrants have been exercised realizing a total of $2,465,689 for the Corporation. At the Rooipoort platinum exploration project near Mokopane (Potgietersrust), South Africa. The initial 15-hole drilling program was largely completed in December. Drilling has now resumed after the year-end break, with a further 8-10 holes (approx. 2000m) planned. This current phase is providing information to define the stratigraphy of the Rooipoort target area and will be used to focus the next drilling phase which is intended to define an initial resource at Rooipoort. This definition drilling program is currently scheduled to commence in mid 2004. At the Barbrook Gold Mine in Mpumalanga, South Africa efforts are being concentrated on improving gold recoveries which continue to be below expectations. A number of plant additions, resulting from positive test-work results, are currently being made to the metallurgical circuit. These additions together with some operational improvements to the circuit that require a short plant shutdown should be completed during March 2004. Barbrook has commissioned MINTEK and ELB Bateman, of Johannesburg, South Africa to carry out an economic and plant scoping studies respectively for a full-plant Biox process of gold recovery facility. The Biox technology was developed on the gold ores of the Barberton Greenstone Belt and has been used successfully since 1990 at the nearby Barberton Mines complex to achieve gold recoveries in excess of 90%. Both Mintek and Bateman are internationally recognised for their expertise and experience in the bacterial oxidation of refractory gold ores such as those found at Barbrook. Caledonia believes that the full-plant Biox technology will be amenable for all of the very complex ore types at Barbrook. Previous Biox test work showed over a 90% gold recovery on samples of a Barbrook flotation concentrate. The implementation of a Biox process should allow Barbrook to blend its various ores and successfully optimise gold recoveries and consequently would allow a significant proportion of the near economic mineral "Resources" to be upgraded to the "Reserves" category. The underground access to the Daylight and Victory zones on 10 level, the main haulage level, has been refurbished. Exploration development on 10 level will now extend along both of these ore zones, which were previously unrecognised, and as such undeveloped, at this elevation. Exploration development is also being directed on 10 level to the recently identified anomaly zone, lying between the Taylors-French Bob current ore mining zone and Daylight/Victory zones. Historically, at the upper levels of the mine, the gold grades of the Daylight/Victory ore zones have been higher than the Taylor's ore zone that has been mined by Barbrook since 1988. Assay results from drilling indicate that this trend should also continue at depth. Underground core drilling is in progress to further confirm the extension of the Taylors-French Bob orebody to a depth of 150 metres below 10 level. Previous drilling at Taylor's below 10 level indicated an increase in gold grade with depth. It is planned that a decline shaft will be developed to access this ore. Plans and designs are being prepared for this work and a hoist and associated equipment is have been sourced and a purchase reservation has been agreed with the seller. Further exploratory drilling of the Daylight, Victory and the anomaly target zones will be initiated during the first quarter 2004. EERSTELING - GOLD Caledonia owns approximately 96.4% of the Eersteling Gold Mining Company Limited (Eersteling) and intend, subject to obtaining the necessary shareholder and regulatory approvals, to terminate the listing of Eersteling from the JSE Securities Exchange South Africa. This will result in Caledonia owning 100% of Eersteling's gold assets and the Rooipoort platinum project. The Roodepoort property, situated 22 km north-east of the Eersteling mine area and 8 km east of Eersteling's Zandrivier mine, is focussed over an area of historical gold mining on which an unusual gold-bearing "albitite" granite intrusive occurs. Grab samples have returned values of up to 2g/t gold from pyritic portions of this unit and values greater than 16g/t gold from younger shear zones. Grid preparation and detailed soil sampling is in progress over a 2,500m x 1,500m area. Soil samples will be analysed for gold at the "Low-level Gold" facility of Genalysis in Perth, Western Australia. Targets generated from soil sampling results and previous data will be drilled, probably commencing in mid 2004. The objective of this exploration program is to evaluate the potential for a large low-grade open pit mine in the "albitites", an occurance that is well documented particularly in Australia, but has not previously been explored at Eersteling. In the event that Roodepoort gives favourable tonnages and grades an exercise will commence to detail and cost the rehabilitation of the Eersteling gold plant to handle the potential high tonnage - lower grade ore, which will facilitate the more rapid return of Eersteling to commercial scale production. ROOIPOORT - PLATINUM At the Rooipoort platinum exploration project near Mokopane (Potgietersrus), South Africa, the first 5 holes of the current 8-10 hole program (approx. 2000m) have been completed. These holes have been drilled to follow up results of a soil geochemical survey completed late 2003 and which is assisting in the interpretation of the stratigraphy of the Bushveld Complex underlying this poorly exposed property. This current drilling phase is providing information to further define the stratigraphy of the Rooipoort target area. This data will be used to focus the next drilling phase that is intended to define an initial resource at Rooipoort. The resource-definition drilling program is currently scheduled to commence in mid 2004. NAMA - COBALT In 1996/97 Caledonia identified and drilled a 953 million tonne low grade cobalt/copper resource on the Nama license area west of the Copperbelt region in Northern Zambia In late 2003, Caledonia was approached by a potential customer and metal producer regarding Nama's ability to provide a suitable feed to its smelter. An initial sampling and screening program is planned for April 2004, once the rains stop and ready access to the sample sites is assured. This program will confirm whether the smelter feed specifications can be met. Assuming that these specifications can be met, a 100 tonne sample will be supplied for a smelter test. Subject to meeting the smelter specifications and obtaining satisfactory economic terms, we expect to enter into a long-term contract to provide approximately 300 tonnes of a cobalt/copper concentrate a day from Nama. MULONGA PLAIN JV - DIAMONDS The Mulonga Plain joint venture with Motapa Diamonds Inc ("Motapa") consists of three license areas in Western Zambia, the Mulonga Plain license in the south and the Kashiji Plain and Lukulu license areas to the north. Motapa is the operator of the joint venture. In the Mulonga Plain license Motapa have identified several prospective areas. It is not considered practical or efficient to pursue all these areas concurrently during the up-coming field season and the exploration program for 2004 will concentrate on the easterly sector. This area shows several indications of local, potentially diamondiferous kimberlites. The exploration program will include further detailed ground magnetic and gravity surveys on targets developed over the past year followed by a drilling program to test the prioritized targets and obtain stratigraphic and critical down hole sampling information. Work is planned to start in June or July 2004 when field conditions permit. Work planned for the Kashiji licence includes a stream-sediment and infill sampling program around the anomaly in the north and follow-up sampling and ground magnetics over two high abundance ilmenite recovery sites in the southeast portion of the license. The drill testing of encouraging geophysical anomalies is planned for Kashiji in late 2004. Fieldwork on the recently acquired Lukulu license will be dependent on the results of fieldwork conducted over the SE portion of the adjacent Kashiji license. GOEDGEVONDEN - DIAMONDS Compilation of base plans is near completion prior to review and re-compilation of historical data. Negotiations are in progress which may result in an escalation of the bulk sampling program and following up of exploration targets that Caledonia has identified within the project area.
