ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

 

On September 18, 2005, Integrity Financial Corporation (the “Registrant”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with FNB Corp, Asheboro, North Carolina (“FNB”). There are no material relationships between FNB and the Registrant or FNB and any of the Registrant’s affiliates, other than by virtue of the Merger Agreement.

 

The Merger Agreement provides that the Registrant will be merged with and into FNB and that each outstanding share of the Registrant’s common stock will be exchanged for the right to receive 0.8743 shares of FNB common stock and $5.20 in cash.

 

The stock portion of the consideration furnished to the Registrant’s shareholders is intended to qualify as a tax-free transaction. As part of the Merger Agreement, four independent members of the Registrant’s Board of Directors will be added to the Board of FNB.

 

The transaction is subject to certain conditions, including the prior approval of the Registrant’s shareholders and the shareholders of FNB and approvals of applicable regulatory authorities. The merger is anticipated to close in the second quarter of 2006.

On September 19, 2005, the Registrant announced that it had entered into a definitive agreement to be acquired by FNB Corp., Asheboro, North Carolina. The Registrant’s press release regarding the Merger Agreement is filed herewith as Exhibit 99.1 and incorporated by reference into this Item 8.01.
