On January 30, 2008, Lippert Components Manufacturing, Inc., a subsidiary of the Company entered into a compensation arrangement with Scott T. Mereness, its Chief Operating Officer, as set forth on Exhibit 10.1. The compensation arrangement is for the period January 1, 2008 to December 31, 2010.
