Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Termination of Change In Control Agreements with Executive Officers

As described in the Definitive Proxy Statement filed by LCI Industries (the "Company") with the Securities and Exchange Commission on April 11, 2017, and supplemented with amended disclosure on May 17, 2017, the Company previously entered into Change In Control Agreements with certain of its executive officers, including Jason D. Lippert, Scott T. Mereness, Brian M. Hall, and Robert A. Kuhns. Effective December 19, 2017, all of the Change In Control Agreements were terminated voluntarily by such individuals. Following such terminations, the Company has no remaining Change In Control Agreements in place with its executive officers, but instead relies upon its Executive Employment Agreements, among other things, to serve as its appropriate executive retention tools.
