thereof, could not be filed within the prescribed period.

     The Registrant cannot timely file its Form 10-QSB for the quarter ending on
     September 30, 2001 because it is still  completing  its Form 10-QSB and the
     related  exhibits.  The Company is  completing  its report and  researching
     matters which  impacted  income and costs and expects to report net revenue
     of  approximately  $2,079,802,  net income of  approximately  of  $352,090,
     earnings per common share  (basic)  $.08 and  (diluted)  $.06 for the three
     months ended September 30, 2001.
