Item 8.01    Other Events.

         On April 14, 2005, Parker Drilling Company (the "Company") publicly
disseminated a press release announcing that it intends, subject to market and
other conditions, to offer an additional $50 million in aggregate principal
amount of its 9 5/8% Senior Notes due 2013 in a private offering. The purpose of
this Current Report on Form 8-K is to file as Exhibit 99.1 a copy of the
Company's press release dated April 14, 2005 announcing such event. The press
release is incorporated by reference into this Item 8.01 and the foregoing
description of the press release is qualified in its entirety by reference to
such exhibit.
