NOT APPLICABLE 13D PAGE 5 OF 6 PAGES This Amendment No. 7 (this "Amendment") amends the Statement on Schedule 13D initially filed jointly by AIMCO Properties, L.P., AIMCO-GP, Inc. and Apartment Investment and Management Company on October 5, 1999, as amended by Amendments 1 through 6. Item 1. Security and Issuer The name of the issuer is McCombs Realty Partners, a California partnership (the "Partnership"), and the address of its principal executive offices is Colorado Center, Tower Two, 2000 South Colorado Blvd, Suite 2-1000, Denver, CO 80222. The Partnership's managing general partner is CRPTEX, a Delaware corporation (the "General Partner"). The General Partner is a wholly- owned subsidiary of Apartment Investment and Management Company ("AIMCO"). The title of the class of equity securities to which this statement relates is the Partnership's units of limited partnership interest ("Units"). Item 3. Source and Amount of Funds or Other Consideration. This Amendment is being filed after the conclusion of the tender offer by AIMCO Properties, L.P., a Delaware limited partnership, to purchase outstanding Units of limited partnership interest of the Partnership, at a price of $7.32 per unit, subject to the conditions set forth in the Offer to Purchase dated September 4, 2001, supplement thereto filed as exhibit 7 to the Schedule TO/A filed September 24, 2001, and amended Schedule TO filed September 27, 2001. At 5:00 p.m. on October 2, 2001, the offer expired pursuant to its terms. A total of 181 Units, representing approximately 1.22% of the outstanding Units, were validly tendered and not withdrawn pursuant to the offer. AIMCO Properties, L.P., has accepted for payment all of those units at a price of $7.32 per Unit. The Units were purchased with cash on hand. Item 5.
