Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
Mr. Richard A. Nelson retired as an employee and officer of Qualstar effective as of January 28, 2011.  Mr. Nelson co-founded Qualstar in 1984 and served as Vice President of Engineering and Corporate Secretary from 1984 until his retirement.
