Item 8.01.  Other Events
 
On June 23, 2015, the U.S. Federal Trade Commission informed Pall Corporation (“Pall”) that it had granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (“HSR”), with respect to the acquisition of Pall by Danaher Corporation, a Delaware corporation (“Danaher”), pursuant to the previously announced Agreement and Plan of Merger, dated May 12, 2015 (the “Merger Agreement”), by and among Pall, Danaher, and Pentagon Merger Sub, Inc., a New York corporation and an indirect wholly owned subsidiary of Danaher (“Merger Sub”), providing for the merger of Merger Sub with and into Pall (the “Merger”), with Pall surviving the Merger as an indirect wholly owned subsidiary of Danaher.
 
Termination of the HSR waiting period satisfies one of the conditions required for consummation of the Merger. The transaction remains subject to approval by Pall’s shareholders, receipt of certain other regulatory approvals and other customary conditions.  The Merger is expected to close in calendar year 2015.
