Departure of Directors or Certain Officers.

On November 22, 2006, PacifiCorp's Senior Vice President, Richard D. Peach, resigned as a director and officer, effective immediately. As described in PacifiCorp's Current Report on Form 8-K dated August 24, 2006, Mr. Peach had previously indicated his intention to resign in the fourth quarter of 2006.
