           DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

          (b)   On November 17, 2004, Joseph C. Parisi notified Registrant that
                he resigned from the Board of Directors of the Registrant.
                Mr. Parisi had previously resigned from the Board of Directors
                of Registrant's subsidiary, Interchange Bank.
