Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 7, 2019, Kenneth Liang, a member of the Boards of Directors (the “Boards”) of PG&E Corporation (the “Corporation”) and Pacific Gas and Electric Company (the “Utility”), a subsidiary of PG&E Corporation, notified the Corporation and the Utility of his decision to resign from the Boards of the Corporation and the Utility, effective immediately.  Mr. Liang’s resignation does not involve any disagreement on any matter relating to the Corporation’s or the Utility’s operations, policies or practices.
