On November 15, 2013, Axion International Holdings, Inc. acquired the assets of Y City Recycling, LLC. As a result of this acquisition, the company moved its executive offices from New Providence, New Jersey to Zanesville, Ohio. This acquisition also required the company to integrate its accounting and other systems with those of Y City Recycling. In addition, the company has experienced delays in establishing the fair market value of the assets it acquired. These reasons have delayed the company’s ability to file its Form 10-K within the prescribed time.
