Item 3.01.    Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

The Company issued a press release announcing that it received notice on February 16, 2007, from the Nasdaq Stock Market indicating that the Company is not in compliance with one of Nasdaq's requirements for continued listing under Nasdaq Marketplace Rule 4310(c)(2)(B), and that its securities are, therefore, subject ot delisting from the Nasdaq Capital Market, and that it intends to provide to Nasdaq, at a hearing on March 1, 2007, with a specific plan on how it intends to achieve and sustain compliance with all the Nasdaq Capital Market listing requirements. A copy of the press release is furnished as Exhibit 99.1 to this report.
