Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.


On May 7, 2007, Robert G. Sampson, a Director of the Registrant and a member of the Compensation Committee, informed the Registrant that he would not stand for re-election to the Board of Directors at the next annual meeting of shareholders due to his advancing age.  Mr. Sampson did not have any disagreement with the Registrant on any matter relating to the Registrant’s operations, policies or practices.
