NEWHALL LAND UPDATES STATUS OF PENDING MERGER

NET EARNINGS OUTLOOK FOR 2003 INCREASED TO $1.80 TO $1.90 PER UNIT

 

VALENCIA, California, December 9, 2003 – The Newhall Land and Farming Company (NYSE, PSE/NHL) announced today that the California Public Utilities Commission (CPUC) agenda for its December 18, 2003 meeting includes the draft decision of the Administrative Law Judge on the pending application for transfer of control of Valencia Water Company, a wholly-owned subsidiary of Newhall Land, to a company jointly owned by Lennar Corporation (Lennar) and LNR Property Corporation (LNR) pursuant to the pending merger between Newhall Land and the Lennar/LNR entity.

 

The Administrative Law Judge’s draft decision conditionally approving the application was issued on November 14, 2003.  At its meeting on December 18, 2003, the CPUC may act on the draft decision, or it may postpone action until later.  When the CPUC acts on the draft decision, it may adopt all or part of it as written, amend or modify it, or set it aside and prepare its own decision.

 

The merger between Newhall Land and the Lennar/LNR entity is subject to CPUC approval of the pending application, as well as customary closing conditions.  In accordance with the terms of the merger agreement, the merger will be completed within seven business days after the day on which all the conditions to the merger have been satisfied or waived.  The Company had previously stated it expected the closing to take place by mid-2004.  However, as previously announced and based on the progress to date, it now appears that the merger may be completed substantially earlier than originally anticipated.

 

OUTLOOK

 

Based upon projected results for the balance of the year, the Company expects net income for 2003 to range from $1.80 to $1.90 per unit.  This is an increase over the previously reported range for this year’s earnings of $1.50 to $1.60 per unit and is due primarily to projected higher

 



 

price and profit participation income from prior land sales and, to a lesser degree, forecasted reductions in expenses and project accruals.  The outlook for the year reflects the forecasted sale of about 793 residential lots with an estimated combined sales price of approximately $67 million and approximately 68 acres of commercial and industrial land with a combined expected sales value of $48 million for 2003.  The Company’s portfolio of income-producing properties is expected to contribute approximately $8 million to earnings in 2003, after deductions for administrative expenses and depreciation.  Net operating income from the income-producing portfolio, which is the industry-accepted performance measure for such assets, is expected to be approximately $20 to $21 million for 2003.  Net operating income represents earnings from the income portfolio before deductions for administrative expenses and depreciation, but after accounting for approximately $700,000 in projected start-up expenses for the Tournament Players Club at Valencia golf course in 2003.
