Item 7.01 Regulation FD Disclosure

      On February 24, 2005 Otter Tail Corporation entered into a Stock Purchase Agreement with Arvig Enterprises, Inc. for the sale of its subsidiary Midwest Information Systems, Inc. Arvig Enterprises, Inc. is a full-service telecommunications company headquartered in Perham, MN, serving communities in West Central and Central Minnesota. The sale is contingent on approval of the Minnesota Public Utilities Commission and other standard conditions of closing.
