Explanation of Responses:

(1) Patterson-UTI Energy, Inc. (the "Company") is party to a stock purchase agreement dated June 11, 2002 (the "Stock Purchase Agreement"). The Company acquired the 195,000 shares (the "Shares") of common stock, $.10 par value per share, of TMBR/Sharp Drilling, Inc. pursuant to a put option exercised by one of the sellers under the Stock Purchase Agreement.

(2) The Company acquired an option to purchase the Shares under the Stock Purchase Agreement and previously reported such option on the Form 3 filed by the Company with the Securities and Exchange Commission. The Company's option to purchase the Shares has effectively been terminated due to the seller exercising its put option with respect to the Shares.
