Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 1, 2007, Camden National Corporation (the “Company”) announced that Laurel J. Bouchard resigned her position as Chief Administrative Officer of the Company, effective March 31, 2008. In connection with her resignation, Ms. Bouchard and the Company entered into an agreement under which Ms. Bouchard will receive salary continuation payments and other related benefits estimated to be valued at $180,000.
