Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

On December 9, 2015, Jennifer L. Frost, Executive Vice President and Chief Information and Technology Officer of QNB Bank, the registrant’s wholly owned subsidiary (the “Bank”), notified the Bank that she is resigning from this position effective December 22, 2015. Ms. Frost’s resignation was not a result of any disagreement on any matter relating to the registrant’s operations, policies or practices. The Bank has not yet appointed a new Chief Information and Technology Officer and is seeking qualified candidates from outside the Bank.
