(1)	This Registration Statement covers (i) 2,000,000 shares of common stock of the Registrant authorized to be offered and sold under the iCAD, Inc. 2024 Omnibus Equity Incentive Plan (the “2024 Plan”) and (ii) an additional 2,100,000 shares of common stock of the Registrant authorized to be offered and sold under the iCAD, Inc. 2016 Stock Incentive Plan, as amended (the “2016 Plan”). In addition, pursuant to Rule 416(a) of the Securities Act of 1933, as amended, this Registration Statement shall also cover any additional shares of the Registrant’s common stock that become issuable under the 2024 Plan and 2016 Plan by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without receipt of consideration that increases the number of the Registrant’s outstanding shares of common stock.
