On December 17, 2022, Nathaniel Dalton notified the Chairman of the Board of Directors (the “Board”) of iCAD, Inc. (the “Company”) of his decision to resign, effective immediately, from his position as a member of the Board. Mr. Dalton indicated that his departure from the Board did not result from any disagreements with management or the Board but was in order to more fully pursue other commitments.
