Item 5.07        Submission of Matters to a Vote of Security Holders

At the annual meeting of stockholders of Access to Money, Inc. (the “Company,” “we” or “us”) held on June 16, 2010, the holders of our outstanding stock took the actions described below.  As of the record date for the annual meeting, 22,279,011 shares of common stock were issued and outstanding, each entitled to one vote per share.

The stockholders elected Ethan S. Buyon and Kenneth Paull to serve on our board of directors for a three-year term.  The results of the voting are as follows:

Richard B. Stern, Douglas B. Falcone, Thomas S. McNamara, and Michael E. Venezia continue to serve their terms as directors of the Company.

The stockholders also approved a proposal to ratify the selection of Friedman LLP as the Company's independent auditor for the 2010 fiscal year.  The voting results for this proposal were 18,397,436 shares for, 1,005,539 shares against, and 30,104 shares abstained.
