Appointment of Principal Officers

     On November 15, 2004, Jon S. Pitcher was appointed the Company’s Principal Accounting Officer, replacing Rebecca J. Demy, who resigned on November 12, 2004. Mr. Pitcher, age 55, previously served as Corporate Controller and Director of Revenue since joining the Company in December 2003. Mr. Pitcher was self-employed from April 2001 until December 2003, providing accounting and consulting services to private and publicly-held clients. From 1991 though March 2001, Mr. Pitcher was Chief Financial Officer of OXIS International, Inc., a publicly-traded pharmaceutical development company.
