                                             amended and restated as
                                             of May 23, 1996, in which
                                             Concurrent acquired the
                                             assets of CyberGuard's
                                             real-time computer busi-
                                             ness and 683,178 shares
                                             of CyberGuard's common
                                             stock. Concurrent has

                                             fund certain obligations
