INFORMATION CONTAINED IN THIS REPORT ON FORM 6-K

On November 4, 2014, Ion Asset Management Ltd. (“Ion”) filed an amended Schedule 13D with the United States Securities and Exchange Commission (the “SEC”) disclosing that Ion holds, as of such date, less than 5% of the outstanding shares of Orbotech Ltd. (the “Company”). Accordingly, certain of the obligations under the agreement with Ion announced on June 27, 2014 (the “Agreement”) have been permanently relieved, and the Company does not intend to seek shareholder approval to increase the size of its board of directors (the “Board”) or appoint any additional directors at this time. Mr. Miron (Ronnie) Kenneth, who was appointed as a director of the Company on September 23, 2014, pursuant to the Agreement, will continue to serve on the Board, as previously announced.
