INFORMATION CONTAINED IN THIS REPORT ON FORM 6-K
Orbotech Ltd. (the Company) previously provided 2011 full year guidance. The Company is updating the per share information to give the effect solely to the impact of the issuance of 7,705,000 ordinary shares in a public offering completed on May 31, 2011 (the Offering) on the estimated average number of shares outstanding during 2011.
Guidance on GAAP net income margin per share for 2011 was previously given at $1.53 $1.58 per share (diluted). After adjusting the estimated average number of shares outstanding anticipated for 2011 to take into account the Offering, GAAP net income margin for 2011 is now anticipated to be in the range of $1.35 $1.40 per share (diluted). Guidance on non-GAAP net income margin per share for 2011 was previously given at $1.90 $2.00 per share (diluted). After adjusting the estimated average number of shares outstanding anticipated for 2011 to take into account the Offering, non-GAAP net income margin per share for 2011 is now anticipated at $1.70 $1.78 per share (diluted). The estimated average number of shares anticipated for 2011 after taking into account the Offering is 41.2 million.
