Item 7.01 Regulation FD Disclosure.

On November 19, 2008 the registrant announced its forecast of an increase in sales for 2009. The registrant is projecting sales for 2009 of $12 million, an estimated $8.5 million in sales is projected to be generated by the existing product portfolio with an additional $3.5 million resulting from acquired products and products presently owned but not previously released to the market. Such projections are based on, among other assumptions, the registrant’s ability to raise investment and working capital to fund acquisitions and launch of new products. A copy of the press release is annexed as Exhibit 99.1 to this Form 8-K.

In accordance with general instruction B.2 of Form 8-K, the information in this report that is furnished pursuant to this Item 7.01 and 9.01(c) shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to liabilities of that section. This report will not be deemed an admission as to the materiality of any information in the report that is disclosed solely for purposes of Regulation FD.
